These Terms & Conditions (“Terms”) constitute a legally binding agreement between Red Cape Labs (“Company,” “we,” “our,” or “us”) and any individual or entity (“User,” “you,” or “Purchaser”) who accesses or uses our website, online store, or services (collectively, the “Site”). By accessing or purchasing from this Site, you acknowledge that you have read, understood, and agree to be bound by these Terms.

1. Ownership of the Site

3. Regulatory Status & Research-Use-Only Products

You acknowledge and agree that:

Red Cape Labs is not a compounding pharmacy or chemical compounding facility as defined under Section 503A of the Federal Food, Drug, and Cosmetic Act.

Red Cape Labs is not an outsourcing facility as defined under Section 503B of the Federal Food, Drug, and Cosmetic Act.

We do not compound, manufacture, or dispense drugs for human or veterinary use.

Additionally:

All products sold by Red Cape Labs are for laboratory research use only.

Products are NOT intended for:

• Human consumption, injection, inhalation, or application
• Use in food, drugs, cosmetics, medical devices, or veterinary applications
• Diagnosis, treatment, cure, or prevention of disease
• Any clinical, medical, household, or commercial application

Misuse of products is strictly prohibited.

4. Chemical / Biological Hazard Notice

Our products may pose chemical, biological, or physical hazards. You agree to:

Handle all materials exclusively in controlled laboratory environments.

Use proper PPE and follow appropriate safety protocols.

Comply with all applicable local, state, and federal laws.

5. FDA Disclaimer

Statements and products provided by Red Cape Labs have not been evaluated by the U.S. Food and Drug Administration.

Red Cape Labs is not a 503B outsourcing facility.

6. Purchaser Responsibility & Assumption of Risk

By purchasing from this Site, you certify and agree:

You assume full responsibility for the lawful and safe handling, storage, and use of all purchased materials.

You understand the inherent risks associated with research chemicals.

You acknowledge that Red Cape Labs does not compound pharmaceuticals under 503A or 503B.

You are at least 21 years of age or the legal age of majority in your jurisdiction.

7. Waiver of Liability

To the fullest extent permitted by law, you waive all claims against Red Cape Labs, its owners, employees, suppliers, and affiliates for any injury, loss, or damage arising from:

• Handling
• Possession
• Storage
• Use or misuse of products
• Violation of these Terms

This includes all direct, indirect, incidental, and consequential damages.

8. Indemnification Agreement

You agree to indemnify, defend, and hold harmless Red Cape Labs from any claims, liabilities, damages, or legal actions arising out of:

• Your purchase or use of products
• Your violation of these Terms
• Any misuse or unlawful use of materials
• Any allegation of improper compounding or pharmaceutical use related to 503A/503B

9. Requirements for Using the Store

By using our Site, you represent that:

You are legally permitted to purchase research chemicals in your jurisdiction.

You will not use our products for any clinical or medical use.

You understand that Red Cape Labs does not provide compounded medications.

You will not resell or distribute products for prohibited purposes.

We reserve the right to refuse service or cancel orders at our discretion.

10. Modifications to Terms

We may revise these Terms at any time. Changes are effective immediately upon posting.

Continued use of the Site constitutes acceptance of updated Terms.

11. Termination of Contract

We may terminate or restrict your access to the Site if you:

Violate any Terms

Misuse products

Attempt to treat our products as drugs subject to 503A/503B standards

All liability, indemnification, and intellectual property provisions survive termination.

12. Limitation of Liability

Red Cape Labs shall not be liable for any:

Indirect, incidental, special, punitive, or consequential damages

Loss of business, data, or profits

Our maximum liability is limited to the purchase price paid for the product.

15. Affiliate Program Terms

By applying to or participating in the Red Cape Labs Affiliate Program (“Affiliate Program”), you agree to the following terms in addition to all other Terms & Conditions on this Site:

 15.1 Commission Structure
• Affiliates earn 5% commission on every completed order placed using their unique affiliate code.
• Customers who use an affiliate code receive 10% off their total order.
• Commissions may be redeemed once the affiliate’s balance reaches a minimum of $100 USD.
• Affiliates may choose payout in cash or store credit, at their discretion.

15.2 Payment & Eligibility
• Commission balances will be calculated based on successfully processed orders only (excluding cancelled, refunded, or fraudulent orders).
• Payout requests may be made at any time once the minimum $100 threshold is met.
• Affiliates are responsible for providing accurate payment details.

15.3 Promotional Guidelines Affiliates agree to the following promotional requirements:
• A minimum of 2 promotional videos per week featuring or referencing Red Cape Labs products or brand.
• Content must comply with platform guidelines and may not depict misuse, consumption, or unsafe handling of research chemicals.
• Affiliates may not use their own code on their own orders under any circumstances.

Failure to adhere to these guidelines may result in:
• Temporary suspension of the affiliate code
• Permanent deactivation of the affiliate code
• Forfeiture of pending commissions (in cases of fraud or misuse)

15.4 Code Misuse & Fraud We reserve the right to revoke affiliate privileges if:
• An affiliate attempts to apply their own code to personal purchases
• Fraudulent or artificial traffic is generated
• Misleading, unsafe, or inappropriate promotional content is posted
• Terms of this Affiliate Program or Site Terms are violated All decisions regarding code deactivation or commission cancellation are made at our sole discretion.

15.5 Relationship Disclaimer

Participation in the Affiliate Program does not create an employer–employee relationship, agency partnership, joint venture, or franchise. Affiliates operate as independent promoters.

15.6 Modifications to Affiliate Terms

Red Cape Labs reserves the right to modify, suspend, or terminate the Affiliate Program and its terms at any time. Continued participation constitutes acceptance of updated terms.

16. Return Policy

We do not accept returns, refunds, or exchanges for any products under any circumstances.
